1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Axel Networks ("Company," “we," “us," or “our"), concerning your access to and use of the axel-networks.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”) and our internet and related services (the "Services").

You agree that by accessing the Site and/or Services, you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Services Provided

Axel Networks provides high-speed internet access services, primarily through fiber optic technology, and may offer related services such as managed Wi-Fi, VoIP, and other network solutions. Specific details of the services, including speeds, pricing, and features, are described in your service agreement, plan descriptions, and on our Site.

Service availability is limited to certain geographic areas within Los Angeles County and is subject to confirmation at your specific address. All speeds are "up to" the specified rate and are not guaranteed, as they can be affected by various factors including customer equipment, home wiring, network congestion, and website/server limitations.

3. User Obligations and Conduct

You agree to use the Services in compliance with all applicable laws and regulations, and in accordance with our Acceptable Use Policy (AUP), which is incorporated herein by reference. You are responsible for any misuse of the Services that occurs through your account, whether by a member of your household, an employee, or a guest.

You agree not to use the Services for any illegal or prohibited purpose, including but not limited to: transmitting any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material; transmitting material that encourages conduct that could constitute a criminal offense; interfering with any other person's use or enjoyment of the Services; or disrupting networks connected to the Services.

4. Equipment

Axel Networks may provide or lease equipment to you, such as a modem, router, or optical network terminal (ONT), necessary for use of the Services ("Company Equipment"). You agree to use Company Equipment only for its intended purpose and in accordance with our instructions. You are responsible for any loss or damage to Company Equipment, reasonable wear and tear excepted. Upon termination of Services, you must return all Company Equipment in good working condition within a specified timeframe, or you may be charged for it.

You may also use your own compatible equipment ("Customer Equipment"), but Axel Networks is not responsible for the installation, operation, or maintenance of Customer Equipment and does not guarantee it will be compatible with our Services.

5. Billing and Payment

You agree to pay all charges associated with your chosen Service plan, including any applicable taxes, fees, and surcharges, by the due date specified on your bill. We may change our fees and charges, or add new fees and charges, from time to time by giving you advance notice. If you fail to pay your bill on time, we may suspend or terminate your Service and may charge a late fee or reconnection fee.

Details regarding billing cycles, payment methods, and dispute resolution are available in your customer portal or by contacting customer service.

6. Term and Termination

Your Service term will be specified in your service agreement (e.g., month-to-month or a fixed term). You may terminate your Services at any time by contacting us, subject to any applicable early termination fees if you are on a fixed-term contract. We may suspend or terminate your Services if you violate these Terms, our AUP, or fail to pay your bills.

Upon termination, you remain responsible for all outstanding charges and for returning any Company Equipment.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXEL NETWORKS OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE OR SERVICES, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE OR SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF AXEL NETWORKS OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL BE LIMITED TO THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE THREE (3) MONTHS PRIOR TO THE DATE THE CLAIM AROSE.

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AXEL NETWORKS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

9. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms of Service, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Service to stay informed of updates.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California and the federal laws of the United States, without regard to its conflict of law principles.
